i need emerge a download manager appz. so can any one help me to find a good 
1? (with a good GUI)

I don't prefer GUI's for downloads. Unnecessary use of resources. I use
wget, but if you are on KDE and want GUI, you should try KGet.

I use one called 
aria [in portage]
which works just fine for me, more features than most would need for
day to day uses.

 Its best accelerator out there in my most humble opinion
 no gui as far as I know though, but you can get it working with the 
flashget plug in for firefox

If you have a list of a few hundred files to download, KGet give much
better feedback than wget :)

axel for command line - it multithreads your download and allows you
to resume downloads, I use this instead of wget for emerge. Its much
quicker.

aria for gui - havent really tried any others but this does the trick
and works nicely.
