Daniel Robbins, on behalf of Gentoo Technologies, Inc, hereby transfers, to
the extent that there is copyright to be transferred, the exclusive copyright

listing of files was obtained by running the command "for x in doc gentoo

files that existed in the Gentoo Concurrent Versions System (CVS) repositories

holder.) Daniel Robbins also transfers copyright and trademark interest of
the "Gentoo" name, the Gentoo stylized "G"

Technologies, Inc) a perpetual, royalty-free, non-transferrable license to use

We'd need a list of exactly what equipment that is, and I suspect that
would have to wait until Kurt returned.  Can we leave it for a future
agreement?  I'd like to get the copyright stuff out the door as soon as
possible.

Ownership transferrence is a lot easier than copyright. It's not easy to get 
into legal debates (except with Daniel) and can be done as easy as Daniel 
stating in an email that he gives it to us (at least what I believe, but 
IANAL).

Why do you say that?  I can't see where in the text I have either
explicitly or implicitly suggested that more than copyrights and
trademarks are transferred?  Or are you saying that we _should_ transfer
everything at one time?  If that's the case, is it something that we've
already discussed and that I missed?

ok.... We're going to have a document that transfers "everything" from
daniel to us. that's one doc....
This is what [Redacted] and i had been working on, which is why I wanted
the list of "everything" that gentoo technologies is signing over to us.
I didn't even think about equipment in that list, but if there's infra
stuff that he owns, then that needs to be transfered from him to us as
well. On the other hand if he's already given us the equipment, then we
probably don't need to worry about it.

we decide on, and have that.

My concern is that we could get everything signed over and then realize
that the code still lives on the Gentoo Technologies cvs server, and
that be a legal loophole.

I'm with Grant in that I don't think this will be finalized anytime in
the near future.

Lately my opinion is leaning to the "screw it!" side as most developers
don't see the value in it and want to fight the idea anyway.  So if a
misuse of Gentoo ever occurred, just leave it up to them to defend their
copyrights.  It won't be possible, but I figure the risk of something
like PearPC-CherryOS ever happening and not being able to solve it is
worth it compared to trying to convince the developers that what we are
doing is good for them.

So, let's get a list of servers or what ever included in the list of
stuff that needs to be transfered. What all boxes did/is transfered/has
been given to us?

what we want first before we can even get down to deciding in how we

This is a valuable question, because if we work our asses off trying to
get a legal copyright assignment doc, just to have the devs reject it
then it is all in vain.  It is my understanding that in order for this
to work, it is and all or nothing thing.  Meaning that they either sign
the document or they don't commit.

Maybe this would be a good first vote of the Foundation membership (not
trustees).  -shrug-

The downside to this is that most people don't understand the risks in
letting this go, being that someone could easily take the code and sell
it as a commercial product.  This will have even greater risks as we get
into markets where this is already happening a lot, like with embedded. 
If that happens then we just have to accept it, because otherwise you
have to get a couple dozen developers who have touched the violated code
together to go to court and defend what they have done.  PearPC is doing
this now, but they are lucky enough to have a very small development group.

bleh, I'm having a bad gentoo day as it is, so take my opinion with a
grain of salt.

That happens to be my view on the issue.  We're going to have actual
members quite soon, and we should let them share the work!

Don't dare to go away from the original intend to get copyright transfers.
There are only positive sides attached to it afaik, you just need to be able
to sensiblize (sp?) the developers for it.

A copyright transfer is a contract. If the Gentoo Foundation requires all
developers to sign a contract stating that every work they contribute to
the Gentoo Project is owned by Gentoo Foundation as long as the Gentoo
Foundation does not wave from the GPL license version 2 or higher for
software or the Creative Commons - Attribution / Share Alike version 2 or
higher for the work, then that's a valid contract (okay, there are some
smaller items that need to be listed in the contract for it to be valid in
Belgium, but it's really not difficult), then developers should not worry
about Gentoo Foundation walking away with their code.

Perhaps the developer wants to share the copyright of the Work with the
Gentoo Foundation in such an extend that the Gentoo Foundation can
individually act on the Work as long as the Gentoo Foundation does not wave
from the beforementioned licenses that's possible as well and fits our needs
(we just want to be able to protect Gentoo). I believe we should keep that
option open as well.

Deedra, has this been mentioned during the previous conference call? Sharing
ownership on works but on which each side can individually act (without the
permission of the other side) and where the Gentoo ownership stays as long
as we do not wave from the GPL/CC-BY-SA?

Actually he has given it in some way, but I'd still like it in some kind of 
writing (digitally signed is ok too) to prevent any future disputes.

Drobbins has requested we add the following to the copyright transfer
agreement:

  * Perpetual use of the drobbins@gentoo.org e-mail address (presumably
    if Gentoo should shut down in the future, drobbins should have the
	option to reacquire the domain name).
  * A license to maintain store.gentoo.org (which comes with
    store@gentoo.org through 2005.
  * A clause transferring the gentoo.org domain from drobbins to 
    the Foundation (as he still owns it).

Any comments?

hrm, I'm probably going to upset daniel with this one, but this isn't my
intention...

I don't think that he should have perminant use of drobbins@gentoo.org,
I can see it while he's still using the store, but once the use of the
store is done with, there's no reason for him to keep it.

I think there may be two different aspects of this issue.  One is
drobbins using the drobbins@gentoo.org address for new e-mails, which
implicitly suggests that he is representing Gentoo.  Given that we
control www.g.o, the forums, and the mailing lists, I personally believe
that we should be able to counter any confusion that might arise, but I
understand that some will disagree with me on principle.  The other
issue is Daniel receiving mail that goes to drobbins@gentoo.org.  That
e-mail address is plastered all over the internet (especially in his
Intel and IBM articles, not just associated with Gentoo proper), so I
can certainly understand drobbins' desire to receive mail at that
address.  Is there a reasonable compromise that may be reached (assuming
that one is needed)?

What about an abuse termination clause, that states that if he uses the 
address to act as a gentoo developer/against the interests of the foundation 
while in fact not being a member (he might rejoin) his right to use the email 
address is lost (possibly after X warnings)

What if we just have an alias that forwards the mail so he does get the
mail, but it's his responsibility to filter the mail through gmail, or
what ever he uses on his end, along with what Paul suggested. My main
thing here is that a while back he was using dev.g.o for specificly
"managing his mail" or something to that effect. infra disabled his
account, and that caused a lot of problems. Paul brings up a vallid
point with the articles etc etc.

Yet another item for the list (pointed out by ferringb):

  * Transfer of the copyrights governed by the existing Gentoo
    Technologies, Inc copyright transfer agreements that many of 
    our developers signed.  It would be foolish to have a situation
	where new work added by devs who have signed that doc is
	automatically copyrighted Gentoo Technologies.

It certainly looks good in my not professional opinion :) Just a small note
but it is covered in the text (just mentioning it to inform you): none of
the Gentoo documentation is currently owned by Gentoo Technologies, Inc.
Only a small amount of it is owned by Daniel (as he wrote them) and most of
them are even not Daniels' anymore (owned by the companies where he wrote
the article for but who have granted a republication/redistribution right 
to Daniel).
