Delaware historically has had friendlier laws for corporations, which is
why a majority of large companies who are incorporated within the US choose
Delaware

As Nick said, I think we want/need some legal advice on whether or not we
can establish a 501(c)(3) sub-organization that will allow us to take
advantage of the tax benefits offered to those kinds of organizations.
