Dear All (specifically, the voting members of the foundation),

Thank you all so much for expressing your confidence in me with the most
recent Trustee elections. I fear, however, that for personal reasons I
will be unable to assume my position on the board. I thus respectfully
resign my position.

During this next year, the board will be tasked with many critical
items, and I am embarking/have embarked on many critical items in my
personal life, to which I'd like to give priority. I will still be
happy to provide any services to the Board as they need it (in the
capacity of an advisor, I suppose).

Thanks,

I'll grumble @ Seemant about this off-list :)

So, what now?

a) We promote rl03 (as the first losing candidate) to the Board of
Trustees, without requiring another vote.
b) We re-open nominations, and hold another vote.

Anyone know where I can find a copy of the Foundation's by-laws, to
see what it says about this situation?

Best regards,
Stu

Never mind, I found them [1]. Section 5.7 says that the remaining
Trustees can vote in a replacement for Seemant. It doesn't require us
to re-open voting with the membership.

Grant - as you're now the senior Trustee, can we rely on you to
organise a Trustees meeting to discuss this, and hopefully vote in a
successor for Seemant?

Hrrrmn... ok... so what does this mean, exactly? Do we take seemant out
of the winners and use the top 5 minus seemant... or do we run with 4...
or?

We take the first winner from Gentoo Devmatch and proclaim them supreme
commander of the Gentoo fleet. Then, we'll just need to start building
a fleet.

Realizing it's Grant's call as senior - I favor the notion of promoting
the next "winner" in the elections. There were 2 more candidates than
positions on the ballot, which means they didn't come in next by default
but by actual votes.

*Sigh* Unfortunately, the bylaws have yet to be approved (mainly
because the quorum requirements would kill us). Thus, there is no
well-defined path. The options are:

(1) Follow the bylaws, and the remaining trustees will pick a
    replacement.
(2) Bump up the largest vote recipient who didn't make the cut (r103).
(3) Or re-open nominations

Personally, I'm least fond of option 3, since I'd really like us to get
to work.

We now have #gentoo-trustees open for business. I'd prefer to keep it
open as much as possible, just like #gentoo-council is available for
people to drop in and raise council issues. In any event, I'm likely to
be available only sporadically, but I'll read up whatever is said, so
consider a meeting hereby called.

(Incidentally, I'd also like to see us kill the gentoo-trustees@g.o
list. We already have the gentoo-nfp@g.o list for business that doesn't
have to be kept private, and -nfp tends to be quite low-noise. For
stuff that we have to keep private, we're more likely to use the
trustees@g.o alias than the mailing list, anyway, although I'd like to
see that kept to an absolute minimum.)

The remaining trustees just held a brief meeting and discovered that (1)
and (2) produce the same outcome--r103 replacing seemant. That's what
we're going with, then. Congratulations to r103! Meanwhile, we promise
to get a revised set of bylaws put together (and approved!) so that we
don't wind up in this predicament again.
